Terms of Service
These Terms govern your use of the Kaufman.ai platform. By signing up or using the service, you confirm that you have read and agreed to these Terms.

1. Service Description
Kaufman.ai provides a SaaS platform for Israeli businesses to manage customers, appointments, and WhatsApp conversations. The service includes a multi-tenant CRM, WhatsApp Business Cloud API integration via Meta, AI agents, marketing automations, analytics, and reporting.
2. Account Registration
- Use of the service requires registration and an active account. You must provide accurate, up-to-date information.
- You are responsible for keeping your credentials secret and for any activity on your account. Notify us immediately of unauthorized use.
- An account may be used by multiple authorized users, up to the seat limit of your plan.
- Accounts may not be transferred to a third party without our written consent.
3. Tenant Responsibility for Content
The tenant (registered business) is the sole owner of all data entered into the platform — including end-customer details, message content, and any content created or sent through the service. The tenant warrants:
- Lawful authority to process end-customer data.
- Compliance with all applicable laws — Israeli Privacy Law, GDPR, Israeli Communications Law (Anti-Spam Amendment 40).
- Explicit end-customer consent before sending marketing WhatsApp / SMS messages.
- Compliance with Meta WhatsApp Business terms — no spam, deceptive messages, or illegal content.
4. Acceptable Use
The following uses are prohibited:
- Sending spam, unsolicited messages, or deceptive communications.
- Illegal, harmful, abusive, racist, sexual, or threatening content.
- Infringing copyrights, trademarks, or other intellectual property.
- Reverse engineering, hacking, or attempting to bypass security.
- Activity that may damage system performance or stability (DDoS, mass scraping).
- Collecting data about other users without their consent.
- Using the service for elections, politics, or gambling without our explicit permission.
- Use that conflicts with Meta's WhatsApp Business Solution Provider terms.
Violation results in immediate suspension, possibly without prior notice, and legal action where appropriate.
5. Trial and Billing
- We offer a 7-day free trial on every paid plan. At trial end, the account auto-converts to active billing unless cancelled in advance.
- Billing is monthly or annual at your choice, charged in advance.
- Charges are not automatically refundable, but we will consider refunds within 14 days of first payment.
- Plan upgrade — effective immediately, prorated for the remaining period.
Plan downgrade — effective at the end of the current billing cycle.Payments are processed by Stripe Inc. We do not store card details. See Privacy Policy. Non-payment: first warning at 7 days, suspension at 14 days, deletion at 60 days.6. Cancellation and Termination
- You may cancel anytime via account settings. Cancellation takes effect at end of current billing cycle.
- Upon cancellation we provide a one-click export of all your data (JSON / CSV).
- Your data is retained for 30 days after cancellation, then permanently erased (except payment records, which we are legally required to keep 7 years).
- We may terminate the service immediately for terms violations, illegal activity, or prolonged non-payment. Otherwise we provide 30-day prior notice.
7. Availability and Service Levels
- We aim for 99.9% availability (SLA on PRO and ENTERPRISE plans).
- Planned maintenance — overnight (00:00-04:00 Israel time), with 48-hour advance notice.
- Continuous outage exceeding 8 hours in a calendar month — credit prorated.
- Service depends on third parties (Meta WhatsApp, Anthropic, Stripe). Their outages are not our responsibility but we make every effort to recover.
8. Intellectual Property
- The platform, code, design, and related rights belong to Kaufman.ai (MINDSET.IO / KAUFMAN DIGITAL).
- Tenant retains full ownership of its data, and grants us a limited license to process it solely to provide the service.
- Tenant names, logos, and trademarks remain the tenant's property.
- We may use tenant logo/name on marketing material as a reference customer, unless you opt out.
9. Limitation of Liability
Service is provided "AS IS" without warranty of any kind, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Subject to applicable law, our total liability in any calendar year is capped at the amount you actually paid in the 12 months preceding the event. We are not liable for:
- Indirect, incidental, or consequential damages.
- Loss of profits, customers, or business opportunities.
- Damages caused by sub-processor outages (Meta, Stripe, Anthropic, etc.).
- Damages from unauthorized account use or terms violations.
- AI-generated content — always review content before sending.
Nothing herein limits liability for gross negligence, willful misconduct, or violations of mandatory law.
10. Indemnification
Tenant indemnifies Kaufman.ai from any claim, damage, or expense (including reasonable attorney fees) arising from: (a) tenant's breach of these Terms, (b) content tenant entered or sent, (c) unlawful use of the service, or (d) infringement of third-party rights.
11. Changes to Terms
We may update these Terms from time to time. Material changes are emailed and posted here at least 30 days before taking effect. Continued use after the effective date constitutes acceptance. If you do not agree, you may cancel before effective date.
12. Force Majeure
Neither party is liable for delay or non-performance due to force majeure — war, emergency, natural disaster, government order, large-scale cyberattack, or major internet/power outages.
13. Governing Law and Jurisdiction
These Terms are governed by the Laws of the State of Israel. Exclusive jurisdiction is vested in the Competent courts of Tel Aviv-Yafo, and neither party may seek a different forum.
